Terms of Service

1. Who we’re

These Terms govern services provided by Rhody Websites, a line of business of Own The Box Marketing LLC, a Rhode Island limited liability company ("we," "us," "our"). By purchasing a plan you ("Client," "you") agree to these Terms.

2. What we provide

We provide website design, hosting, Google Business Profile management, local search optimization, review management, and related services as described in the plan published at the time of purchase. Specific deliverables and volumes are set by that published plan.

Services not expressly listed in your plan aren’t included and are quoted separately.

3. Fees and billing

A setup fee of $997 total is billed in three equal installments of $333, added to each of your first three billing cycles. It is non-refundable once setup work has commenced.
Plan fees are billed every twenty-eight (28) days beginning on your launch date.
The initial term is 364 days. After the initial term, service continues on a rolling basis until cancelled with thirty (30) days’ written notice.
Fees may be adjusted with sixty (60) days’ notice, effective no earlier than the end of your initial term.
Third-party costs are passed through at our stated rate (domain registration, call tracking numbers, and similar) and identified separately on your invoice.
Failed payments: we’ll notify you and attempt collection. Services may be suspended if payment remains outstanding after fifteen (15) days.

4. Website ownership

Read this section carefully. Because the website build is provided at no charge, ownership is allocated as follows.
You own
Your domain name, registered in your name
All content, copy, images, and materials you provide
Your customer data, contact lists, and lead records
Your Google Business Profile and all associated data
Your analytics history
We own
The website design, layout, code, templates, and hosting configuration
Any custom development, tooling, or automation we build
Copy and content we author on your behalf
On cancellation

The website is deactivated. Your domain remains yours and we’ll transfer or release control of it promptly on request. Your content and customer data will be exported and delivered to you within ten (10) business days of your request, at no charge. We don’t transfer the website build, its code, or its design.

5. Content edits

Your plan includes a set number of edit requests per billing cycle.

One "request" means a single change or a batch of related changes requiring up to thirty (30) minutes of work.
Turnaround times are stated per plan and measured in business days (Monday–Friday, excluding federal holidays), beginning the first business day after a complete request is received.
Unused requests don’t roll over.
Requests beyond your allotment are billed at $95 per hour, or may be deferred to the next 4 weeks at your option.
Included

Text and copy changes, image swaps, adding or removing staff or services, hours and contact updates, adding a page from an existing template, blog post publishing, seasonal banners, pricing updates, and document uploads.

Not included — quoted separately

New page templates or layout redesigns, new functionality (booking, e-commerce, calculators, member areas), third-party integrations, logo or brand identity work, photography or videography, content writing beyond light editing, site migrations, and anything requiring a new plugin or paid service subscription.

Scheduled closures

We observe scheduled closure periods of up to fourteen (14) consecutive calendar days, no more than three times per calendar year, with a minimum of ten (10) business days’ advance notice. Requests received during a closure begin their turnaround window on the first business day after the closure ends. Emergency support remains available at all times.

Emergency support means: site inaccessible, SSL failure, security compromise, or contact form not delivering. Response within twenty-four (24) hours, always.

6. No guarantee of search rankings

We don’t and can’t guarantee any specific Google ranking, Map Pack placement, search position, traffic volume, lead volume, or revenue outcome. Search rankings are determined by Google using factors outside our control, including your physical proximity to the person searching, competitor activity, and changes to Google’s algorithms.

Any person or company that guarantees you a specific Google ranking is making a promise they can’t keep.

What we do is improve the factors you can influence: your Google Business Profile completeness and activity, your review volume and recency, your website’s technical quality and relevance, and the consistency of your business information across the web.

7. Service commitments

The following commitments apply and are stated in place of any general warranty.

Launch

If your website isn’t live within thirty (30) days of our receipt of all required content and access from you, your first billing cycle is free.

Ninety-day performance

If, after ninety (90) days of continuous service, your total Google review count and your Google Business Profile views haven’t both increased above their baseline at onboarding, we’ll continue providing the relevant services at no charge until they do. Baseline is recorded at onboarding and shared with you.

These commitments are void if you haven’t met your responsibilities under Section 8.

8. Your responsibilities

You agree to:

Provide content, images, and business information we reasonably request
Grant and maintain the access we need, including Google Business Profile manager access
Respond to approval requests within five (5) business days
Ensure all content you provide is accurate and that you hold the rights to it
Maintain any licenses, insurance, or registrations your business requires
Comply with all applicable laws in your business operations

Delays caused by your non-response extend our timelines accordingly.

9. Reviews and communications

Where your plan includes review management, you authorize us to send review requests to your customers on your behalf and to draft responses to reviews in your business’s voice. All review responses are submitted for your approval before publication. We never post a response you haven’t approved.

You represent and warrant that you’ve obtained all consents required by applicable law, including the Telephone Consumer Protection Act and CAN-SPAM, for every contact whose information you provide to us, and that you’ve a lawful basis to contact them. You agree to indemnify us for any claim arising from a contact you provided without the required consent. See our SMS Terms for messaging-specific terms.

We won’t solicit, incentivize, or generate fake reviews under any circumstances, and we won’t remove or suppress legitimate negative reviews. Doing so violates Google’s policies and would put your profile at risk.

10. Third-party services

Our services depend on platforms we don’t control, including Google, Cloudflare, Supabase, Stripe, Twilio, and others. We aren’t responsible for outages, policy changes, account suspensions, or service discontinuations by these providers. We’ll act promptly to restore or replace affected services.

Google Business Profile suspensions can occur for reasons outside our control. If your profile is suspended, we’ll assist with reinstatement at no additional charge, but we can’t guarantee reinstatement.

11. Termination

By you

With twenty-eight (28) days’ written notice after your initial 364-day term. Cancellation during the initial term doesn’t relieve you of the remaining term’s fees except where we’ve materially breached these Terms.

By us

With twenty-eight (28) days’ notice, or immediately if you breach these Terms, fail to pay after notice, or ask us to do something unlawful or in violation of a platform’s policies.

On termination, Section 4 governs what happens to your website and data.

12. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to these Terms shall not exceed the total fees you paid us in the three (3) billing cycles preceding the claim.

We aren’t liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business, or lost data.

13. Indemnification

You agree to indemnify and hold harmless Own The Box Marketing LLC and its members from claims arising out of content you provide, contacts you provide, your business operations, or your breach of these Terms.

14. Changes to these Terms

We may update these Terms. Material changes will be communicated by email at least thirty (30) days before taking effect. Continued use after that date constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law principles. Any dispute shall be brought in the state or federal courts located in Rhode Island.
